By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility and Access
You must be at least 18 years old and have the legal authority to bind yourself or your organisation to these Terms. You agree to provide accurate registration information and to use the Service solely for lawful, professional purposes.
2. User Responsibilities
Alit provides intelligent assistance to support professional accounting and advisory work. It does not replace the judgement of qualified professionals. You remain solely responsible for:
Verifying the accuracy, appropriateness, and completeness of all outputs.
Ensuring compliance with applicable accounting standards (including IFRS and local equivalents) and regulatory requirements.
All final decisions made on the basis of outputs generated by the Service.
You acknowledge that Alit is a tool to assist, not substitute, professional expertise. Outputs are draft working materials intended for review and validation by qualified professionals before any reliance is placed upon them.
3. Nature of AI Outputs
The Service uses artificial intelligence to generate accounting treatments, contract analyses, memos, and related outputs. These outputs are draft working materials designed to support and accelerate professional review. They are not final advice.
You understand and agree that:
AI-generated outputs may contain errors, omissions, or incomplete analysis.
Outputs may reflect interpretations that differ from those your firm or client would adopt.
The Service may misinterpret uploaded documents, contracts, or financial inputs.
It is your responsibility to evaluate, validate, and where necessary amend all outputs before acting on them or incorporating them into client deliverables.
Alit does not provide legal, tax, or audit advice. Outputs should be treated as a starting point for professional analysis, not as a substitute for it.
4. Use Restrictions
You agree not to:
Use the Service for any unlawful, fraudulent, or malicious purpose.
Upload confidential third-party data without proper authorisation.
Attempt to interfere with, reverse-engineer, or circumvent the Service or its components.
Circumvent any security features, access controls, or rate limits.
Use the Service to develop competing products or services.
We reserve the right to suspend or terminate your access if we reasonably believe you have breached these Terms.
5. Data Ownership and Usage
You retain full ownership of the data and documents you upload to the Service, as well as the outputs generated from them.
By using the Service, you grant Alit a limited licence to:
Process, store, and analyse your data solely for the purpose of providing the Service to you.
Derive anonymised, aggregated analytical insights from platform usage patterns to improve and develop our reasoning capabilities.
Important: Alit does not use your uploaded data (including contracts, scenarios, memos, or other client materials) to train or fine-tune AI models. Your documents and inputs are never incorporated into any training pipeline. The analytical insights referred to above are limited to anonymised, non-identifiable patterns of system usage (such as which accounting standards are commonly invoked or how decision points are structured across scenario types) and contain no client-specific content.
6. Confidentiality
Uploaded materials and outputs are treated as confidential. We implement appropriate technical and organisational measures to protect your data.
You are responsible for ensuring that no sensitive, privileged, or protected data is uploaded to the Service without proper authorisation or consent from the relevant data owner.
7. Privacy and Data Protection
We process personal data in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

8. Service Availability
While we strive for high availability, the Service may experience interruptions due to maintenance, updates, or circumstances beyond our control. We do not guarantee uninterrupted or error-free access.
9. Beta, Pilot, and Early Access Use
If you are accessing a beta, pilot, early access, or trial version of the Service, you acknowledge that:
Features may be experimental, incomplete, or subject to change.
Bugs, errors, or performance issues may occur.
We may request feedback to improve the Service.
Separate terms agreed for a specific pilot engagement take precedence over these Terms to the extent of any conflict.
10. Intellectual Property
All software, models, algorithms, documentation, and content used in or forming part of the Service remain the intellectual property of Alit Ltd or its licensors. Nothing in these Terms grants you any right, title, or interest in such intellectual property except the limited right to use the Service in accordance with these Terms.
You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
Alit shall not be liable for any indirect, incidental, special, or consequential damages arising from or in connection with your use of the Service.
Our total aggregate liability in respect of all claims arising under or in connection with these Terms shall not exceed the amount paid by you (if any) for the Service in the six months preceding the claim.
You agree to use the Service at your own risk and acknowledge that outputs are draft working materials requiring professional review.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Alit Ltd, its directors, officers, and employees from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your reliance on outputs generated by the Service.
13. Force Majeure
We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet outages, government actions, pandemics, or labour disputes.
14. Modifications to these Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by email or by placing a notice on the Service. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
15. Termination
Either party may terminate access to the Service at any time. Where a separate service agreement or pilot agreement is in place, the termination provisions of that agreement shall apply to the extent of any conflict with this section. We may suspend or terminate your account immediately if we reasonably believe you have breached these Terms. Upon termination, your right to use the Service ceases. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
